Contract for Photography Mentorship Services

This Agreement is between Lina Mart Photography {"Mentor")  and

("Mentee"} This mentorship does not create a relationship beyond the confines of the mentorship.  Nothing herein shall be deemed to constitute a partnership or joint venture between Mentor and Mentee.  Any advice given by Mentor during the mentorship  is from personal experience and is not a substitute for legal advice. 

Mentee agrees to the terms and conditions set forth below.  
 
Fees and Payment:

Mentee agrees to pay Mentor the total fee specified by Mentor for the type of mentorship selected.   A $200 non-refundable deposit and a signed copy of this Agreement are required to reserve a mentoring session date. The remaining balance of the mentorship fee is due 24-hours before the mentorship session.  

 
Equipment: 
Mentee is responsible for providing all of the equipment required to complete the mentorship unless otherwise agreed. This includes but is not limited to, a DSLR camera or a device with zoom or video conferencing capability.
 
Mentorship Session Images: 
Any images taken by Mentee during the mentorship session are owned by Mentee and may be used or published by Mentee in their portfolio. Images shared on social media should be tagged as taken during a mentorship session with Lina Mart Photography. 
 
Schedule and Cancellations: 
Mentee understands that by entering into this Agreement, Mentor is foregoing other photography and mentoring sessions. In the event of a cancellation of the mentorship session/agreement by Mentee, the deposit paid is non-refundable. Deposits are transferable if a date change is necessary due to illness/extreme weather conditions or other extenuating circumstances. Earliest possible notice of postponements or cancellations is appreciated.  If a schedule change is needed by Mentor due to extenuating circumstances, no adjustment/proration of fees shall be applied and Mentor and Mentee will reschedule on an agreed date at the earliest date possible. If Mentee does not agree to a new date within three months of the original schedule date, and the Mentor's prices for this type of mentorship session have increased since the time of booking, Mentee will be responsible to pay the difference in price for the mentorship session. Mentor is not liable for damages incurred in reliance on this agreement.
 
Non-Compete Agreement
Mentee agrees that they will not Mentor other photographers for a minimum of 1 year after the mentorship session. 
 
Recording or Reproduction of Mentorship Materials:
Mentee may not record, screenshot, or videotape the mentorship session without first obtaining permission from Mentor.  Everything learned during the mentorship session is for Mentee's personal use and may not be reproduced or shared with other photographers. 
 
Cooperative Attitude:
Mentee agrees to retain a cooperative attitude throughout the course of the mentorship. If at any time the Mentee acts uncooperative, Mentor may terminate the mentorship and retain all mentorship fees. Cooperation includes, but is not limited to, online and in-person decorum whether directed at Mentor or a third party during the mentorship.
 
Entire Agreement:
This Agreement contains the entire understanding between Mentor and Mentee. It supersedes all prior agreements between the parties. Any modifications of this Agreement must be in writing and signed by both parties.  Any waiver of a breach or default of one provision of the Agreement shall not be deemed a waiver of a subsequent breach or default of either the same provision or any other provision of this Agreement.  This Agreement shall be governed by the laws of the state of Florida.
 
Arbitration: 
Any controversy or claim arising out of or relating to this agreement, or the breach thereof, shall be settled by arbitration, administered in accordance with the Commercial Arbitration Rules of the American Arbitration Association, administered by a licensed Arbitrator in the jurisdiction closest to the Photographer’s office and the arbitration award may be entered for judgment in any court having jurisdiction thereof. Notwithstanding the foregoing, either party may refuse to arbitrate when the dispute is for a sum less than $300. In no event shall an award in an arbitration initiated under this clause exceed the contracted price of the controversy in dispute.

Attorney Fees. 

If either party to this Agreement brings a legal action against the other party to this agreement to secure the specific performance of this agreement, collect damages for breach of this agreement, or otherwise enforce or interpret this agreement, the prevailing party shall recover reasonable attorney’s fees and all costs, premiums for bonds, fees, and other expenses expended or incurred in the action in addition to any other relief that may be awarded.

Liability:

Lina Mart Photography is not liable for any personal injury or damage to equipment  during the mentorship session.

(Mentee) have read and understand the Agreement and agree to the terms and conditions in their entirety.
